Welcome to the Anisa Modern Web LLC website. Please read these Terms of Service carefully before purchasing or using our services.

These Terms of Service apply to all users and clients who access this website, purchase our services, or enter into a service relationship with our company.

By purchasing our services or using this website, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service.

  1. Nature of Services

Anisa Modern Web LLC specializes in providing digital website design and web development services.

All services provided by the company are one-time purchases; they do not involve the sale or shipment of physical goods.

  1. One-Time Purchase Policy

All services offered by Anisa Modern Web LLC are based on a one-time purchase model.

Clients are required to pay a one-time fee for the specific services selected.

None of our services are offered as monthly or annual subscriptions.

The company does not implement automatic renewals or recurring periodic charges.

Purchasing a service does not create any obligation for future, recurring payments.

Should a client require additional services, extra pages, expanded functionality, or other project elements, the scope and costs for such additions will be determined separately and charged only upon the client’s authorization.

Any additional payments must correspond to services explicitly purchased or authorized by the client.

  1. Orders and Payment Terms

When purchasing services, clients must provide accurate and truthful order and contact information.

Payment terms are as follows:

All service prices will be clearly displayed on the purchase page or in the order confirmation details.

Unless otherwise agreed upon in writing, payment must be completed before the commencement of services.

Payments are processed through third-party payment platforms supported by the company.

An order is considered confirmed once the payment platform verifies that the transaction has been successfully completed.

The company reserves the right to delay the processing of an order if payment fails or the transaction is declined.

Any additional services or work falling outside the scope of the original order will require a separate quote and the client’s consent before any charges are applied.

The company will not automatically charge subscription fees or initiate recurring payments without the client’s authorization.

Clients are responsible for ensuring that the payment method used is legal, valid, and that they are authorized to use it to complete the transaction.

4. Service Fulfillment and Delivery

All services provided by the Company are completed and delivered digitally.

Depending on the specific type of project, delivery methods may include:

Sending design files via email.

Sharing project files through cloud-based platforms such as Google Drive.

Providing design previews via Figma.

Granting access or administrative rights to platforms such as WordPress or Shopify.

Presenting completed websites via online preview links.

Delivering project deliverables in applicable digital file formats.

Specific delivery timelines, the scope of services, and delivery methods shall be governed by the order confirmation details and the Service Fulfillment Policy.

  1. Intellectual Property and Copyright

The Company respects intellectual property rights and requires clients to comply with all applicable copyright laws.

5.1 Materials Provided by the Client

The original intellectual property rights for any text, images, trademarks, brand identifiers, or other materials provided by the client remain with the client or the respective legal rights holder.

The client warrants that they have the authority to provide these materials to the Company and to authorize their use, and the client assumes full liability for any issues arising from the unauthorized use of third-party materials.

5.2 Original Design Deliverables by the Company

Upon full payment of the project fees by the client, the intellectual property rights—to the extent that they are transferable—for final design deliverables created specifically for the client (and for which a transfer has been explicitly agreed upon) shall be transferred to the client.

Unless otherwise agreed upon in writing, the Company retains ownership and all related rights to the following:

Design templates and assets that existed prior to the commencement of the project.

General-purpose code, development tools, and technical frameworks.

Reusable program modules and development methodologies.

General technical resources developed independently by the Company.

Rights related to third-party software, plugins, and open-source components.

For projects that incorporate third-party licensed materials, open-source code, or third-party software, the right to use such elements remains subject to the original licensing agreements.

5.3 Unpaid Projects

Until the client has made all agreed-upon payments, they may not copy, resell, publish, or make commercial use of any project deliverables for which payment has not been completed, except as otherwise provided by law or agreed upon by both parties.

5.4 Right to Showcase Work

Unless otherwise agreed upon in writing or involving a client’s confidential information, the Company reserves the right to showcase completed, publicly disclosed project deliverables as examples of its work, provided that no sensitive client information is revealed.

  1. Customer Responsibilities

When purchasing and using the services, the Customer shall:

Provide truthful and accurate project materials.

Ensure that they possess the legal right to use all submitted images, text, and other materials.

Provide necessary information and feedback in a timely manner to facilitate project completion.

Refrain from requesting the creation of content that is illegal, fraudulent, infringes upon the rights of third parties, or violates applicable laws.

Safeguard their website backend account and login credentials.

Comply with the terms of use set forth by website hosting platforms, domain registrars, and third-party software providers.

The Customer shall be held liable—to the extent permitted by law—for any issues arising from the provision of inaccurate materials, the use of unauthorized content, or the improper use of project deliverables.

  1. Revisions and Additional Services

The Company provides design and revision services in accordance with the service package purchased by the Customer.

The scope of revisions is limited to the services included in the original order.

Revisions that fall outside the original project scope may incur additional charges.

Requests for new pages, complex features, or additional development work will require a new price quote.

All additional charges must be confirmed by the Customer before the relevant work begins.

The Company will not impose additional fees without the Customer’s prior consent.

  1. Order Cancellation and Refunds

Given the customized and digital nature of website design and development services, order cancellations and refunds are handled based on the project’s actual progress, work already completed, applicable laws, and the Company’s Refund Policy.

If a cancellation request is submitted before the project begins, the Company will assess eligibility for a refund based on the specific order and applicable laws.

If the project has already commenced or is partially completed, the refund amount may account for work already performed and reasonable costs incurred; however, this does not preclude the Customer’s statutory rights to a refund.

Should the Customer believe that a payment was unauthorized, duplicated, or involved other transaction-related issues, please contact us promptly via our customer service email.

Specific refund terms are governed by the Refund Policy published on the website.

9. Disclaimer

The actual commercial performance of the website may be influenced by market conditions, the client’s business practices, and technical factors related to third parties.

  1. Limitation of Liability

To the maximum extent permitted by applicable law, Anisa Modern Web LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from third-party platform failures, internet outages, improper actions by the client, or events beyond the Company’s reasonable control.

To the maximum extent permitted by applicable law, the Company’s cumulative liability for any claims arising from a specific service order shall not exceed the amount actually paid by the client for the services to which the claim relates.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including consumer rights that cannot be waived by law, or liability arising from fraud, willful misconduct, or any other conduct that cannot be limited by law.

  1. Dispute Resolution

In the event of a dispute between the client and the Company regarding services, orders, payments, or these Terms of Service, both parties agree to first attempt to resolve the matter through friendly consultation.

Clients are encouraged to submit a description of the dispute via email, including order details, the nature of the issue, and the desired resolution.

The Company will review and respond to such requests within a reasonable timeframe.

If the dispute cannot be resolved through consultation, either party may initiate legal proceedings in a court of competent jurisdiction in accordance with applicable law, or—upon mutual voluntary agreement—pursue resolution through mediation or arbitration.

Nothing in these terms shall deprive consumers of their statutory rights to file complaints, seek redress, or pursue judicial remedies.

12. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Missouri, USA, without regard to its conflict of law principles.

Any disputes arising in connection with these Terms of Service shall be resolved by a court of competent jurisdiction in accordance with applicable law.

Nothing in these Terms shall be construed to exclude any mandatory rights or protections to which a consumer may be entitled under applicable federal or state laws.

  1. Changes to These Terms

We reserve the right to update these Terms of Service to reflect business developments, service adjustments, or changes in laws and regulations.

Updated terms will be posted on this website, with the date of the update indicated.

In the event of material changes, we will provide appropriate notice as required by applicable law.

The legal effect of a customer’s continued use of the services following an update to these Terms shall be determined in accordance with applicable law.

  1. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by applicable law.
